Private owners

You spent decades building it. Keep more of the sale.

Most of what decides your outcome happens before the facility ever goes to market: the model the price is built on, how many buyers are in the room, and whether the tax structure was set up in time to use.

What a private owner gets

Three things, and none of them is a sign in the ground.

  1. A confidential valuation, before anyone knows you are looking.

We rebuild your operating statement the way an acquisitions team would, and we tell you what a buyer will actually underwrite. No sign in the ground, no email blast, no obligation to list.

  2. The structures your accountant raises after closing, raised before it.

1031, DST, 721 UPREIT, and the structures beyond them. Most owners hear their options too late to use them. A deferral structure has to be in place before the wire, not after it, so we start the conversation while a sale is still hypothetical.

  3. The honest number, including when it says wait.

A price quoted to win a listing gets a facility skipped by name. You will hear what your facility is worth today and what a year of specific work would do to that figure, including the years when the answer is not to sell.

The Pre-Sale Strategy Session

Thirty minutes, and nobody asks you for financials.

Five things come out of the call. It is free, it is confidential, and there is nothing to sign at the end of it.

  1. 01

    Tax Liability Analysis

A clear-eyed look at what a sale would trigger in capital gains and depreciation recapture, and the entity questions your CPA will need settled before anything else.

  2. 02

    Market Value Optimization

Where your facility sits in its life cycle, and the operational cleanups institutional buyers actually pay premiums for, starting with the operating statement.

  3. 03

    Tax Deferral Planning

The seven structures beyond the standard 1031, narrowed to the two or three that fit you, and the cash flow replacement math run on your actual number.

  4. 04

    Wealth Structuring

How the step-up in basis and your estate plans fit the structure you choose, coordinated with your CPA and your attorney rather than around them. Every structure has an honest catch, and we name it.

  5. 05

    Exit Timing Audit

A straight read on your property against the deadlines each structure carries, including the answer nobody selling you something will give: sometimes waiting serves you better. You will hear it from us if it is true.

Oakside Companies is not a registered investment advisor and does not provide tax, legal, or investment advice. The Pre-Sale Strategy Session is educational. Every structure discussed must be evaluated, built, and signed off by your own CPA and tax attorney, and Oakside coordinates with your advisors rather than replacing them. Where Oakside introduces institutions that execute these structures, Oakside is not compensated for those introductions. Illustrative figures are illustrations, not projections or client results.

Scott and Duncan, on why they said no for twenty years and yes to this one.

Client story

Roughly a hundred brokers called. They said no every time.

Scott and Duncan, who built and sold two self-storage facilities in South Georgia.

In their words

We didn't have a plan for what we were going to do with the money, and that's what stopped us cold in our tracks.

Scott Scott Sold two self-storage facilities in South Georgia

Scott and Duncan met when Duncan, then a commercial banker, financed a mobile home park for Scott. Vacant land at that park led Scott to self-storage, and they opened their first facility in January 2004. Over about twenty years they built two facilities in South Georgia, the best product in their market.

Roughly a hundred brokers called them, peaking when cap rates fell. They said no every time. Price was not the reason. They had no plan for the proceeds, no appetite for a perpetual 1031 loop, and no interest in fractional ownership of something they had never seen.

Cameron had taken one of those calls years earlier and given them a valuation. When a serious offer arrived, they called him back, and he drove up from Tampa the next day. Oakside laid out the full path and put the team in front of them before they committed.

Read how the deal was structured

In their words

We didn't want to be thrown into a mill with three thousand other properties that are for sale. We felt like our situation was somewhat unique and we wanted somebody to work with us that recognized that.

Scott Scott

Cameron, you came across as the most professional and open and honest to us of all the folks we talked to.

Duncan Duncan

It's exactly like you laid out that it would be.

Scott Scott

If it weren't for the continuum of value that Oakside offered, with respect to not only optimizing the sale but optimizing also the asset to which the resources go, we might not have sold at all.

Duncan Duncan

In their words

What sellers said afterwards.

The package assembled for the sale process was informative and professional, providing the critical information any prospective buyer would need for analysis. The Oakside team is impressive in working with everyone.
